Effect of the proposed changes: New 9.2A makes it explicit that, if the club holds a hybrid meeting, the members attending electronically will have the same rights as those members in the room. New Rule 9.2B 9.2B A member seeking to be present at a General Meeting by means of electronic facilities is responsible for ensuring they have access to and can use the facilities.That General Meeting shall be duly constituted and its proceedings valid notwithstanding the inability of the member to gain access to or use the facilities, or the loss of access to or use of the facilities during the General Meeting. Effect of the proposed changes: New Rule 9.2B ensures that the member using Zoom or similar platforms is responsible for access- ing the meeting and being able to use the technology. There are no changes to the existing text of Rule 9.3 9.3 The chair of the meeting may, with the consent of the General Meeting at which a quorum is present (and shall if so directed by the meeting) adjourn the meeting to another time and/or place. No business may be transacted at an adjourned meeting except business which could properly have been transacted at the original meeting. After existing Rule 9.3, add the following new Rules 9.3A and 9.3B. 9.3A If it appears to the chair of the meeting that an electronic facility has become inadequate for attendance at and participation in the General Meet- ing, then the chair may, without the consent of the General Meeting, pause, interrupt or adjourn the meeting.All business conducted at that General Meeting up to the time of adjournment shall be valid.The provisions of Rule 9.3 shall apply to that adjournment. 9.3B If after the sending of notice of a General Meeting, but before the meet- ing is held (or after the adjournment of a General Meeting but before the adjourned meeting is held), the General Committee decides it is impracticable or unreasonable to hold the General Meeting on the date or at the time or at a declared place, and/or by means of a declared electronic facility, it may postpone the meeting to another date or time and/or change any place and/or electronic facility at which the meeting is to be held. Effect of the proposed changes: New Rules 9.3A and 9.3B ensure we have flexibility in the event of technical or other issues. This provision also protects the meeting by ensuring that it is properly constituted and valid if a member cannot gain access or if access is lost during the meeting. The provisions at 9.4-9.7 are un- changed. Amendment to Rule 9.8 Existing Rule 9.8: 9.8 At any General Meeting a resolu- tion put to the vote of the meeting shall be passed by a simple majority or such higher threshold specified in the Rules or required by law.A resolution shall be decided on a show of hands unless: New Rule 9.8: 9.8 At any General Meeting a reso- lution put to the vote of the meeting shall be passed by a simple majority or such higher threshold specified in the Rules or required by law.A resolution (including at a meeting where members are attending and participating via electronic facilities) shall be decided on a show of hands or such equivalent function via electronic facilities unless: Effect of the proposed changes: Existing Rule 9.8 sets out the approval thresholds for votes which are decided in meetings.The pro- posed changes reflect that the club holds hybrid meetings where some members attend online and use the online platform functionality to cast their vote. The provisions at 9.8.1 and 9.8.2 are unchanged. The provisions at 9.9 are unchanged. Amendment to Rule 9.10 Existing Rule 9.10: 9.10 The General Committee may, on its own authority and shall, on the request of at least 100 members entitled to vote, call an Extraordinary General Meeting of which not less than 28 clear days’ written notice shall be given stating the object, date, agenda, time and place of the meeting and details of any resolutions to be considered at the meeting.An Extraordinary General Meeting shall be held within 60 days of the date of the request.An Extra- ordinary General Meeting shall not transact any business that is not set out in the notice convening the meeting. Rule 9.2 in respect of quorum and adjournment shall also apply to Extraordinary General Meetings, except that a meeting held as a result of member requisition will be dissolved if too few members are present half an hour after the meeting is scheduled to begin. Effect of the proposed changes: This simply clarifies that the existing and new rules about adjournment apply to EGMs as well as to AGMs. The Chair confirmed that the proposed amendments to the Rules had been passed unanimously. He thanked members for taking part in the vote, and he also thanked Mr John Evans for his suggestion at the AGM in 2023.
